Welcome to NinjaPipe (“NinjaPipe”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of NinjaPipe, including our website ( ninjapipe.com ), web app ( ninjapipe.app ), mobile applications, APIs, and related services (collectively, the “Service”). For how we handle personal data, see our Privacy Policy . By using the Service, you agree to be bound by these Terms. If you do not agree, you must not use NinjaPipe. 1. Eligibility You must be at least 18 years of age and capable of entering into a binding contract to use NinjaPipe. By using our Service, you represent that you meet these requirements. 2. Account registration and responsibilities To access most features, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep it updated. You are solely responsible for: Maintaining the confidentiality of your login credentials. Controlling who can access your workspace and what they can do (for example, roles and invites). All activities performed under your account. You are responsible for maintaining the confidentiality of your login credentials and controlling access to your workspace. If you become aware of unauthorized use, notify us immediately at support@ninjapipe.com . You may not: Create accounts through unauthorized means (for example, bots or automated scripts that violate our policies). Impersonate another person or entity. Share account credentials with unapproved users. 3. Description of services NinjaPipe provides customer relationship management tools to help businesses manage contacts, communications, and workflows, including optional integrations with platforms such as Meta (for example, WhatsApp or Instagram where offered), automation tools, messaging providers, Google Workspace, Outlook, and Office 365, among others. Additional modules and features may be introduced or retired at our discretion. The Service is a software tool for your operational use. It does not provide and must not be relied on as legal, financial, tax, accounting, or compliance advice. You are responsible for decisions you make in your business and for meeting obligations in your industry or jurisdiction. Marketing, demos, testimonials, and website copy describe the product’s general purpose and are not promises of any specific revenue, sales volume, ROI, or business outcome. Only these Terms, the Privacy Policy , and any separate written agreement you sign with NinjaPipe govern our obligations. 4. Subscription plans and payments NinjaPipe operates on a subscription basis. Fees, billing cycles, and payment terms are specified at sign-up or renewal. Payments are processed by our payment partners (Stripe, PayPal). We do not store full card numbers on our own servers. The fees in this section relate to your NinjaPipe plan. For money you collect from your own customers through the Service (for example paid booking pages or invoice links), see Section 5. a) Billing and renewal Subscriptions renew automatically unless cancelled before the next billing period. You authorize NinjaPipe to charge the payment method on file for recurring fees. b) Refunds Except where required by law, all fees are non-refundable once charged. c) Taxes You are responsible for all applicable taxes unless expressly stated otherwise in your plan. d) Failed payments and chargebacks (your plan) If payment for your NinjaPipe subscription fails, is charged back, reversed, or disputed with our billing partners, we may suspend or downgrade the Service until the matter is resolved. Repeated non-payment or payment abuse may result in termination of your account subject to these Terms. 5. Workspace and end-customer payments Certain features let you collect money from third parties (for example customers, clients, or attendees), such as paid booking pages, invoice payment links, and similar tools. Those payments are typically processed by third-party payment processors (for example Stripe, including Stripe Connect where you link a merchant or connected account). NinjaPipe is not a party to the sale. NinjaPipe does not act as merchant of record, escrow agent, or payment intermediary for transactions between your business and end customers. You are solely responsible for the goods, services, appointments, fees, deliverables, and the commercial relationship with your end customers. a) Processors, Stripe, and connected accounts Settlement, payouts, fees, account approval, restrictions, freezes, terminations, and risk decisions are governed by your agreement with the payment processor (for example Stripe) and, where applicable, your connected or merchant account. NinjaPipe provides software that can interoperate with those services; we do not guarantee continued processing availability, payout timing, or that a processor will maintain your account. You must comply with all applicable processor terms, policies, and brand rules. b) Chargebacks, disputes, reserves, and balances You are solely responsible for chargebacks, payment disputes, network or issuer reversals, reserves, rolling reserves, negative balances, and other risk or compliance measures imposed by processors or banks. NinjaPipe does not intermediate these events and is not liable for losses arising from them. You indemnify NinjaPipe for claims connected to such matters to the extent permitted by law. c) Taxes, invoices, and configured amounts You are solely responsible for correct tax treatment (including rates and collection), legal entity and billing details shown to payers, and the accuracy of amounts, line items, and descriptions on invoices and in checkout or booking flows. The Service does not verify your configuration and does not provide tax, accounting, or legal advice. d) Refunds to end customers Refunds or credits between you and your end customers are your responsibility. Any refund or cancellation workflow available in the Service only facilitates actions you initiate or configure; NinjaPipe does not decide entitlement to a refund and is not liable for your refund policies or timing. e) Prohibited uses of payment features You must not use payment features for unlawful activity or in violation of processor or card-network rules. Examples include processing for illegal gambling where prohibited, unlicensed financial services where licensing is required, sanctions violations, or other high-risk activity processors commonly prohibit. We may suspend, limit, or disable payment-related functionality (or broader access) where we reasonably believe there is legal or compliance risk or a breach of these Terms. Payment processing depends on third-party networks, banks, and processors. To the fullest extent permitted by law, NinjaPipe is not liable for failed, delayed, misdirected, duplicated, or fraudulent payments; for processing errors or downtime of payment providers; for incorrect amounts or descriptions configured by you or your users; or for losses arising from unauthorized access to your connected accounts or misconfiguration of payment settings. You must resolve payment and fulfillment disputes directly with your customers. You agree to comply with applicable laws and card-network rules for accepting payments, and with the terms of your payment processor(s). If you enable features that collect payments, you are responsible for any required notices to payers under applicable consumer and privacy laws. 6. Use of the Service You agree to use NinjaPipe only for lawful business purposes. You may not: Access or use the Service for unlawful, abusive, or fraudulent activities. Copy, modify, or reverse-engineer our software or code, except as allowed by law. Attempt unauthorized access to the Service, infrastructure, or other users’ data. Interfere with, disrupt, or harm servers, networks, or other users. Use the Service to send spam, bulk unsolicited, or misleading commercial messages in violation of law or good practice (see subsection (a) below). We may suspend or terminate accounts or limit features (including email, SMS, chat, or campaign tools) if you breach these rules or if we reasonably believe continued use creates legal, security, or deliverability risk. a) Communications, campaigns, and anti-spam You are solely responsible for outbound and automated communications you send or schedule through NinjaPipe or connected providers (including email, SMS, MMS, WhatsApp or similar messaging channels, voice, in-app notifications, and marketing or transactional campaigns). You represent that you have the rights and, where required, valid consent, notices, and opt-in records to contact each recipient; that you honor unsubscribe, STOP, and suppression requests and maintain accurate opt-out lists; and that you comply with applicable anti-spam, telemarketing, privacy, and electronic communications laws (such as the U.S. CAN-SPAM Act and TCPA where they apply, the GDPR and ePrivacy rules where they apply, the Australian Spam Act 2003, and comparable rules in other countries). You must not use purchased or scraped lists in breach of law or platform rules, misrepresent the sender or subject of a message, or falsify headers or routing information. b) Content and Customer Data you provide You must not store, upload, or distribute through the Service any content that infringes third-party intellectual property or privacy rights, is defamatory or unlawfully harmful, contains malware or phishing, violates export or sanctions rules, or is otherwise illegal. You are responsible for the accuracy of business and marketing claims in materials you send or publish via the Service. c) Compliance with applicable laws You are responsible for using NinjaPipe in compliance with all laws that apply to you and your use case, including privacy, data protection, anti-spam, marketing, telecommunications, and consumer protection laws. NinjaPipe does not monitor all messages for legal compliance; sending compliant communications remains your obligation. 7. Customer Data and your responsibilities You retain ownership of the data you upload, enter, import, or sync into NinjaPipe (“Customer Data”), subject to any third-party rights in that content. By using the Service, you grant NinjaPipe a limited, worldwide, non-exclusive, and royalty-free license to host, store, process, and display Customer Data to provide, secure, support, and improve the Service, to comply with law, and as otherwise described in the Privacy Policy . NinjaPipe may process Customer Data only to provide, secure, support, and improve the service, comply with law, and as otherwise described in the Privacy Policy. You are responsible for ensuring you have the right to upload, import, store, send, or process Customer Data through NinjaPipe, including contact data, emails, files, and data from third-party integrations. You are also responsible for your collection and use of Customer Data in line with your own policies and with third parties’ terms where they apply. a) Personal data and your role Where you determine why and how personal information in Customer Data is processed (for example information about your customers, contacts, or staff), you are responsible for having a lawful basis, providing required notices and individual rights, meeting data-subject requests, and complying with incident and security obligations that apply to you. You must not instruct us to process Customer Data in a way you know to be unlawful. b) Sensitive or regulated categories of data The Service is a general business software platform and is not marketed as a dedicated health, government-secrets, or high-assurance environment. Unless we have agreed in writing (including, where applicable, a HIPAA business associate agreement, government-offering terms, or other supplemental agreement), you should not use the Service to process regulated health information, classified or national-security information, or other special categories of personal data where doing so would require protections we have not expressly agreed to provide. If you choose to upload such information without those agreements, you do so at your own risk and you remain solely responsible for compliance. c) Subprocessors You acknowledge that we use subprocessors to operate, secure, and support the Service (including hosting, email, analytics, and security). Your use of NinjaPipe constitutes your general authorization for us to engage and replace subprocessors as described in our Privacy Policy and any Data Processing Addendum (DPA) you execute with us. 8. Artificial intelligence and automated features Certain features may use artificial intelligence, machine learning, or similar automation (for example product assistance, workflow drafting, or classification). Depending on the feature, prompts, configuration, and limited context may be processed by third-party model providers that act as our subprocessors, as described in the Privacy Policy . Avoid submitting passwords, secrets, or unnecessarily sensitive personal data in free-text fields used for AI features unless you accept the risk of that content being processed by those systems. AI-generated or automated outputs may be wrong, incomplete, outdated, or unsuitable for your use case. They are not legal, tax, medical, or other professional advice. You are solely responsible for reviewing outputs before you rely on them, send them to your own customers, or use them to trigger actions in the Service (such as messages, bookings, invoices, or workflow steps). To the fullest extent permitted by law, NinjaPipe is not liable for loss arising from your use of or reliance on AI or automated outputs, or from incorporating them into your business processes or end-customer communications. How inputs are retained, which subprocessors apply, and where processing occurs for AI features are set out in the Privacy Policy and may change as we update providers or practices—with notice where required by law or contract. 9. Integrations and third-party services When you connect third-party services such as email, calendar, payment, messaging, automation, or other tools, you authorize NinjaPipe to access and process data from those services as needed to provide the functionality you enable, subject to the permissions you grant and those providers’ terms. Integrations may become unavailable, change behavior, or be removed at any time . You connect Gmail, Outlook, WhatsApp or Meta channels, Zapier-style tools, and other providers at your own risk and are responsible for the suitability and legality of those connections for your business. a) Independent providers; their terms apply NinjaPipe is not a reseller, agent, or joint venturer with third-party platforms. Your relationship with each provider (including fees, acceptable use, privacy practices, and how they process data outside NinjaPipe) is governed solely by your agreements and policies with that provider. We do not warrant that any integration will continue to be offered, permitted, unlimited, or free of change by the third party. b) Outages, API changes, and discontinuation Third parties may change or discontinue APIs or products, alter authentication flows, impose rate limits or new fees, suspend accounts for policy or risk reasons, or experience outages. To the fullest extent permitted by law, NinjaPipe is not liable for loss arising from those events; for delays, errors, or gaps in sync or delivery through integrations; or for our need to modify, limit, or retire integration features to maintain security, compatibility, or compliance. c) Credentials and authorization You are responsible for maintaining valid logins, OAuth consents, API keys, tokens, webhook endpoints, and rotating or revoking access when staff or contractors no longer require it. You represent that you have the right and authority to connect each integration and to allow NinjaPipe to access and process the data you authorize for use with the Service. d) APIs, webhooks, automation, and OAuth integrations Where you use developer- or automation-facing capabilities (including REST APIs, webhooks, OAuth clients, Zapier-style connectors, or similar), you are responsible for secure implementation, honoring rate limits and technical requirements, lawful collection and use of data, and for not circumventing third-party rules. You must not use the Service or integrations to scrape, harvest, or export data in violation of a provider’s terms or applicable law, or to send traffic or payloads that harm or overload systems. e) Disputes with providers Disputes between you and a third-party provider (including over account termination, billing, or data) must be resolved with that provider. They do not give rise to liability for NinjaPipe, except where the law does not allow that exclusion. To the fullest extent permitted by law, NinjaPipe is not responsible for data collection, storage, or processing by third parties you connect to the platform, or for those providers’ acts or omissions. 10. Service availability and maintenance The Service is provided on an "as available" basis. NinjaPipe does not commit to any uptime percentage, service level, or response-time guarantee unless you have a separate written agreement signed by us that expressly states otherwise. NinjaPipe aims to maintain reliable access, but availability may be affected by planned maintenance, upgrades, technical issues, third-party dependencies, or events beyond our control. We do not guarantee uninterrupted access and are not liable for downtime, data delays, or losses resulting from outages or degradation, except where the law does not allow that exclusion. Summary or marketing language on our website or pricing page (including references to support priority, response times, availability, or "SLA") is descriptive of how plans are offered and does not override these Terms . Binding uptime or remedy commitments exist only if we have entered a separate written agreement (for example an enterprise or SLA addendum) signed by an authorized NinjaPipe representative that expressly states measurable service levels and credits or remedies. 11. Intellectual property All intellectual property related to NinjaPipe, including software, code, design, logos, documentation, and trademarks, is owned by or licensed to NinjaPipe. Nothing in these Terms grants you ownership or intellectual property rights except as necessary for authorized use of the Service. You may not reproduce, distribute, or create derivative works from any part of NinjaPipe without our written consent. 12. Privacy and data protection Your use of NinjaPipe is governed by our Privacy Policy . By using the Service, you acknowledge that you have read and accepted it. Personal data may be processed in Australia and in other countries where we or our subprocessors operate, as described in the Privacy Policy. Where transfers are restricted by law, you instruct us (and, where applicable, authorize us as your processor) to transfer and process data across borders only as permitted by the Privacy Policy, standard contractual clauses, or other lawful mechanisms. We use subprocessors for hosting, security, communications, analytics, payment processing, and—where you use them—machine-learning or AI features. Categories of subprocessors and how we may add or replace them are described in the Privacy Policy. You are responsible for reviewing updates that materially affect your compliance obligations. If required by applicable data protection laws, NinjaPipe may provide or enter into a Data Processing Addendum (DPA) with eligible business customers. Contact us at support@ninjapipe.com to ask about a DPA. For typical workspace use, where you decide how personal data in Customer Data is used for your business, you act as a controller (or equivalent) and NinjaPipe generally processes that data as a processor (or service provider) on your instructions, as further described in the Privacy Policy and any DPA. Where different roles apply (for example our own account or billing data about you), the Privacy Policy explains our processing. 13. Confidentiality Both parties shall keep each other’s confidential information strictly confidential and not disclose it to any third party without prior written consent, except as required by law. 14. Termination, deletion, and data You may terminate your account at any time through your account settings, or by contacting us. NinjaPipe may suspend or terminate access if you: Breach these Terms Misuse or abuse the Service Fail to pay subscription fees when due, or reverse or charge back fees without valid basis Create legal, security, deliverability, fraud, or compliance risk in our reasonable judgment We may also refuse registration, suspend, or terminate access without prior notice where reasonably necessary to protect the Service, users, or third parties, or where required by law—except where prohibited by law. Upon termination: All rights granted to you under these Terms will cease, except rights that by their nature continue. Before termination, you should export or copy Customer Data where the Service provides export tools. After termination or deletion of your account, we may permanently delete or irreversibly anonymize Customer Data on a schedule consistent with the Privacy Policy (including retention and backup cycles). We are not obligated to retain your data beyond those periods. After account termination or deletion, NinjaPipe may delete or retain data according to the Privacy Policy , including backup retention periods, legal requirements, and legitimate business needs. You remain responsible for any outstanding fees or obligations. 15. Limitation of liability To the fullest extent permitted by law: NinjaPipe shall not be liable for any indirect, incidental, special, or consequential damages; lost profits; lost revenue; lost business opportunities; data loss or corruption; or business interruption resulting from your use (or inability to use) the Service, integrations, or automations—including claims that a bug, outage, sync failure, mis-sync, or workflow error caused you to lose deals, clients, revenue, or reputation. You use the Service to store and process important business data at your own risk. To the fullest extent permitted by law, NinjaPipe is not liable for the accuracy, completeness, or availability of Customer Data, reports, dashboards, or analytics, or for any decision or loss you attribute to reliance on the Service. Our total aggregate liability for any claim shall not exceed the amount you paid for the Service during the preceding 12 months (fees paid to NinjaPipe for your subscription or plan, not amounts you collect from end customers). The liability cap is a single aggregate cap for all claims and all theories of liability arising out of or relating to the Service or these Terms (subject to non-waivable law). If you are on a free tier or have paid none of the fees described above in the relevant period, NinjaPipe's aggregate liability is limited to zero Australian dollars (AUD $0) except where prohibited by law. 16. Disclaimer of warranties The Service is provided “as is” and “as available” without warranties, express or implied, to the extent permitted by law. We do not guarantee that the Service will be error-free or compatible with all devices or integrations. Without limiting the foregoing, we do not warrant uninterrupted or secure access, that data will never be lost or corrupted, that backups will meet your expectations, or that the Service will meet your specific business requirements or regulatory obligations. As a CRM-style platform, the Service may store leads, pipelines, deal stages, messages, and similar records. We do not guarantee that such data will always be complete, accurate, synchronized, auditable, or recoverable in every circumstance, or that you will be able to restore a particular snapshot of your pipeline or communications after an incident. 17. Indemnification You agree to indemnify and hold harmless NinjaPipe, its employees, officers, and affiliates from any claim, demand, loss, or expense arising from: Your violation of these Terms Your misuse of the Service (including automations, bulk messaging, CRM data, or integrations) Your breach of applicable laws or third-party rights Your reliance on automated or AI-generated content, or actions taken based on it (see Section 8) Your use of third-party integrations, APIs, webhooks, or OAuth connections (including breach of a provider's terms or policies, or claims by that provider) Your outbound communications, telemarketing, or marketing campaigns (including claims arising from lack of consent, anti-spam or telecommunications violations, or message content you send) Claims by people who use your customer-facing or white-labeled experiences (including your branding, content, or business practices on those experiences) Your transactions with customers, clients, or other third parties (including payments, refunds, or disputes relating to bookings, invoices, or similar features) 18. Governing law and jurisdiction These Terms are governed by the laws of Australia , including the laws of the State of Victoria and Commonwealth (federal) laws of Australia that apply in Victoria, without regard to conflict-of-law rules that would apply the laws of another country or state. Except where a non-waivable law requires otherwise, you agree that the courts of Victoria, Australia sitting in Melbourne have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, and you submit to that jurisdiction. Where you are a consumer, mandatory consumer protection laws in your country may also apply. 19. Modifications to the Terms We may amend these Terms at any time. Updates will be posted on ninjapipe.com and the “Last updated” date will be revised. Continued use after updates constitutes acceptance of the amended Terms, except where a stricter process is required by law. We may also modify the Service itself—including features, limits, quotas, user interfaces, integrations, and pricing for new or renewing subscriptions—with reasonable advance notice where practicable (for example by email, in-product notice, or our pricing page). Promotional, lifetime, or specially priced plans remain subject to the terms of the offer or written agreement that governs them. If you do not agree to a change that materially affects you and we cannot reasonably accommodate you, you may terminate your subscription as described in your account tools or by contacting us, subject to any prepaid period already billed. 20. Export control and compliance You agree to comply with applicable export and data transfer rules. You may not use NinjaPipe in any country or manner prohibited by law or regulation. 21. Entire agreement These Terms, together with our Privacy Policy and any service-specific agreements, form the entire agreement between you and NinjaPipe and supersede prior inconsistent understandings. Advertising, demos, testimonials, screenshots, and other marketing on our websites or third-party pages are for information only and do not add obligations unless repeated in a signed contract with NinjaPipe. 22. Operational practices, security, and support The following describes how we run the Service day to day. It does not replace or limit the disclaimers and liability caps elsewhere in these Terms, except where the law does not allow those limits. a) Security and incidents We implement and maintain administrative, technical, and organizational measures designed to protect the Service and Customer Data appropriate to the nature of our processing. No method of transmission or storage is completely secure. We maintain security and incident procedures; where a personal data breach requires notification under applicable law, we will address it in line with our Privacy Policy and legal obligations. You are responsible for safeguarding your own credentials, workspaces, and connected systems. b) Vendors and subprocessors We rely on carefully selected vendors (including hosting, payment infrastructure, email and messaging delivery, analytics, security, and AI providers where applicable) and put in place contractual protections consistent with our role and applicable law. Your use of the Service acknowledges that processing involves these subprocessors as further described in the Privacy Policy. c) Insurance NinjaPipe may maintain commercial insurance (for example cyber or professional liability) at its discretion. Insurance is for our own risk management and does not extend a warranty, guarantee of recovery, or additional liability to you, and does not change the caps and exclusions in these Terms except where prohibited by law. d) Scope of support Our support channels address the NinjaPipe platform, your account, and documented product behavior. They are not a substitute for legal, tax, or compliance advice. For issues involving a transaction between your business and an end customer (for example a paid booking, invoice, or refund), the commercial relationship is between you and that person; you should resolve fulfillment and payment questions with them and with your payment processor as needed (see Section 5). For problems caused by a third-party integration or carrier, you may need to contact that provider directly. e) Data retention and backups Retention periods, deletion, and backup practices are described in the Privacy Policy. You are responsible for maintaining independent copies of business-critical Customer Data where your obligations require it. We do not warrant the recoverability of any particular record on any timetable. 23. White-labeling, custom branding, and end users Some plans or settings let you present custom names, logos, colors, domains, or links to people who visit your public pages (for example booking hubs, forms, invoices, signing, or client experiences). The following applies whenever you use those features. a) No agency; your relationship with end users Custom branding does not make NinjaPipe your agent, partner, franchisor, or employee, and does not authorize you to bind NinjaPipe. Your end users, clients, and visitors contract and communicate with you for the underlying products, services, and information you offer. These Terms (and the Privacy Policy) govern your use of NinjaPipe as a business customer, not a direct contractual relationship between NinjaPipe and each of your end users, except where privacy or data-processing law expressly provides otherwise. b) Your brand assets and content You represent that you have the right to use all trade names, trademarks, images, domains, and copy you configure for white-label or public-facing experiences, and that they do not infringe third-party rights or mislead the public. You are responsible for the accuracy of anything presented under your brand. c) Policies and notices to your users Where law or good practice requires you to show terms of sale, privacy notices, cancellation rules, industry disclosures, or support contact details to your end users, you are responsible for providing them and keeping them accurate. NinjaPipe does not replace your lawyer or compliance review for customer-facing obligations. d) Attributions and required disclosures You must not remove or obscure fraud-prevention, payment-provider, legal, or security-related notices where the Service or a processor requires them to appear. Where the product displays optional attribution (for example "Powered by" or similar), you agree to follow the feature rules for that workspace or plan. e) Support and communications NinjaPipe support is provided to you and your authorized workspace users. Your end users should contact you first for questions about their order, booking, invoice, or account on your pages. To the extent an end user contacts NinjaPipe, we may redirect or limit assistance in line with privacy and support policies. 24.
